RESERVATION AGREEMENT

As the seller,

As the buyer,

Frank Johan R Van Hollebeke, of legal age, retired, holder of identity document number 595-3529012-73, single, residing at Gravenwinkelstraat 54/1, 8820 Torhout, Belgium.

Nadine Georgette Werbrouck, of legal age, retired, holding identity document number 595-3529280-50, single, residing at Gravenwinkelstraat 54/1 8820 Torhout Belgium.

THEY DECLARE

I. That Denis Owen McLaughlin is the owner of the following property:

Calle León 72, 03193 San Miguel de Salinas, registered in the Torrevieja Property Registry No. 1, Property Registry Number 6004.

With cadastral reference 3139120XH9023N0001DE.

 

II. That, according to verification in the Property Registry, the property subject to this contract has the following registration status:

It has no encumbrances.

 

III. That the Seller wishes to sell the property described in Declaration I and the Buyer wishes to purchase it.

 

And, both parties having reached an agreement on the price and other conditions of the sale, this document formalizes the transaction in accordance with the following

 

AGREEMENTS

FIRST. - The Buyer acknowledges and accepts the property being sold as is. The sale is made as a specific, defined property.

The sale includes everything listed in Annex I, which forms part of this contract.

 

SECOND. - ENCUMBRANCES. Upon signing the deed of sale, all encumbrances on the property will be cancelled, with all cancellation costs borne by the Seller. The property will be sold free of all encumbrances, liens, and occupants, and will be up-to-date on all taxes and contributions, including all appurtenances and accessories.

 

THIRD. - UTILITIES. The Seller confirms that the electricity and water services are connected and agrees to provide the Buyer with recent utility bills.

FOURTH. - PRICE. The total price of the transaction is set at €305,000.00, which must be paid as follows:

1) As a down payment, in accordance with Article 1454 of the Civil Code, with a deadline of April 30, 2026, the amount of €15,250.00, to be deposited into account number ES42 0081 1447 2100 0120 8830 of Villas Fox S.L.

 

2) By June 26, 2026, the amount of €289,750.00 less the corresponding deductions for the 3% non-resident personal income tax, capital gains tax, the prorated amounts of SUMA 2026 corresponding to the seller, as well as any utility expenses for electricity and water derived from the seller's use of the property.

 

FIFTH. - EXPENSES. The expenses for changing the name on the electricity and water contracts will be borne by the buyer.

The property tax (IBI), as well as the garbage collection and pruning fees for the current year, will be prorated between the parties based on the date of execution of the public deed of sale.

 

SIXTH. - DELIVERY. Full possession of the property will be delivered upon signing the Deed of Sale. It is also established that the Seller will be responsible for all expenses arising from the maintenance of the property subject to this contract until the time it is delivered.

 

SEVENTH. - EXECUTION OF THIS PUBLIC DEED. The public deed of sale formalizing this private contract shall be executed no later than June 26, 2026, before the Notary Public designated by the Buyer. This act shall coincide with the final payment and shall be authorized by the express consent of both parties before a Notary Public in the area where the property being transferred is located.

 

All expenses and taxes arising from the execution and registration of this public deed, including the Property Transfer Tax and Stamp Duty, shall be the sole responsibility of the Buyer.

 

The payment of the Municipal Tax on the Increase in Value of Urban Land shall be made by the Seller.

 

EIGHTH. - BREACH OF CONTRACT. In accordance with Article 1454 of the Civil Code, regarding earnest money, if the deed is not executed due to the Buyer's fault, the Buyer will forfeit all rights acquired under this document, as well as the amount paid as earnest money.

 

If, on the other hand, the deed is not executed due to the Seller's fault, this document will also be extinguished, and the Seller must return double the amount of the earnest money received herein to the Buyer.

If the deed of sale is executed within the stipulated period, the amount paid herein as earnest money will be credited towards the purchase price.

In the event of the death of either party before the signing of this deed, the surviving parties or the heirs of the deceased parties shall have the right to request and obtain the cancellation of this contract, with a refund of all amounts paid to date, without penalty.

NINTH. - METHOD OF PAYMENT. Payments shall be made by bank check or bank transfer, with any associated expenses to be borne by the Buyer.

TENTH. - The Buyer acknowledges receiving from the Seller, to their complete satisfaction, the energy performance certificate for the property subject to this contract, a copy of which is attached hereto as an integral part thereof.

ELEVENTH. - SUBROGATION. The Buyer may not subrogate this contract to any third party without the express consent of the Seller until the full price has been paid.

TWELFTH. - JURISDICTION. For all matters arising from this contract, the parties expressly submit to Spanish law and the jurisdiction of the courts of the city of Torrevieja.

THIRTEENTH. - The town of San Miguel de Salinas is designated as the place of performance of this contract and all related matters.

THUS THEY DECLARE AND GRANT, promising to fulfill it well and faithfully, and for the record, this agreement is drawn up and signed in duplicate at the place and date initially mentioned.
